With Presidential Decree No. 7887, the minimum capital requirement was increased from 50,000 TL to 250,000 TL for joint-stock companies, and from 10,000 TL to 50,000 TL for limited liability companies. The initial capital for non-public joint-stock companies adopting the registered capital system was set at 500,000 TL.
The compliance period granted under Provisional Article 15 added to the Turkish Commercial Code No. 6102, which was previously due to expire on December 31, 2026, has been extended until December 31, 2027, pursuant to the Communique issued by the Ministry of Trade published in the Official Gazette No. 33403 dated October 17, 2026.
Key Principles and Decision-Making Conveniences
1. Existing companies below the threshold must increase their capital to the prescribed amounts by December 31, 2027. Failure to comply by this deadline will result in automatic dissolution by law.
2. Non-public joint-stock companies in the registered capital system that do not increase their initial and issued capital to 500,000 TL by the said date will be deemed to have exited the system.
3. No quorum shall be sought in general assembly meetings held for the capital increase, decisions shall be taken by a simple majority of votes present, and no voting privileges may be exercised against such decisions.
